Reference is made to the stock exchange announcement made by Archer Limited (the “Company“) on 24 September 2025 regarding the successful private placement of 8,848,000 new shares in the Company (the “Private Placement“), and a potential subsequent repair offering of up to 2,212,000 new shares at the same subscription price as in the Private Placement (the “Subsequent Offering“). The Subsequent Offering will, subject to applicable securities law, be directed towards existing shareholders in the Company as of 24 September 2025 (as registered in the VPS two trading days thereafter), who (i) were not included in the pre-sounding phase of the Private Placement, (ii) were not allocated offer shares in the Private Placement, and (iii) are not resident in a jurisdiction where such offering would be unlawful or would (in jurisdictions other than Norway) require any prospectus, filing, registration or similar action.

The Subsequent Offering is, inter alia, subject to (i) completion of the Private Placement, (ii) relevant corporate resolutions, including approval by the Company’s board of directors, (iii) prevailing market price of the Company’s shares, and (iv) the publication of a prospectus. The subscription period for the Subsequent Offering is expected to commence following fulfilment of the aforementioned conditions. The Company may decide that the Subsequent Offering will not be carried out in the event that the Company’s shares trade below the subscription price in the Private Placement at adequate volumes. The Company reserves the rights in its sole discretion to not conduct or to cancel the Subsequent Offering.
